\ For purposes of clarity, the terms "we", "our" and "us" refer to Affiliate-Pharmacy.net and RX LIMITED; "you" and "Affiliate" refers to the other party to the contract formed by your acceptance of these Terms and Conditions; "Affiliate Program" refers to your participation in the promotion of our products and services.

\ Preamble

\ Affiliate is an independent contractor seeking registration for the Affiliate-Pharmacy.net Affiliate Program.

\ Affiliate-Pharmacy.net is not licensed to practice medicine in any capacity but works on an Affiliate basis with RX LIMITED; RX LIMITED provides a dynamic web site order platform, and back office system, which connects customers to both licensed physicians and pharmacies; therefore Affiliate-Pharmacy.net and RX LIMITED collectively act only as a medium to refer a customers specific request for treatment to a specific physician.

\ Term of the Agreement

\ The term and conditions specified in this agreement are considered in effect upon our acceptance and approval of your Affiliate application, upon such acceptance you will be notified by email. This agreement will end when terminated by either party, this agreement may be terminated at any time. Should this agreement be terminated you will be notified by email.

\ Relationship Between Parties

\ Both parties are independent contractors. \ Spam

\ Any form of SPAM used in connection with the marketing of our Affiliate Program will result in your Affiliate account being terminated immediately, and any and all Commissions will be forfeit. You agree that you are aware that we have a zero policy on SPAM, and SPAM complaints we receive are taken seriously. You therefore agree not to engage in any form of SPAM to market our Affiliate Program.

\ Indemnity

\ You shall defend, indemnify, and hold Affiliate-Pharmacy.net, their directors, officers, employees, and representatives harmless from and against any and all liabilities, losses, damages, and costs, including reasonable attorney\'s fees, resulting from, arising out of, or in any way connected with (a) any breach by you of any warranty, representation, or agreement contained in this Agreement, (b) the performance of your duties and obligations under this Agreement, (c) your negligence or (d) any injury caused directly or indirectly by your negligent or intentional acts or omissions, or the unauthorized use of our content or this Affiliate Program.

\ Warranties and Disclaimers

\ Except as set forth in this agreement, we make no warranties of any kind to any person with respect to this Affiliate Program, this includes the Affiliate Program availability or lack there of, or any data or materials supplied thereby, whether express or implied, including any implied warranties of merchantability or fitness for a particular purpose or non-infringement. Furthermore, we make no representation that the operation of any of our computer systems will be uninterrupted, or error-free, and will not be liable for the consequences of any interruptions or errors, therefore you accept that our computer systems, products, and services are provided on an "as is" basis.

\ Good Faith

\ You agree that you will not knowingly benefit from known or suspected traffic not generated using accepted marketing practices, this obligation remains regardless whether or not it causes Affiliate-Pharmacy.net or the Affiliate Program harm. You agree that should fraudulent activity arise, which includes but is not limited to false traffic, or clicks, and false or fraudulent sales, we retain the right to refuse payment of Commission in such circumstances, and/or to retract any Commission already paid. \ Limitation and Exclusion of Liability

\ Affiliate-Pharmacy.net shall not be liable to You, or any other third party, and shall be held harmless for any loss, cost, damage or expense incurred in connection with the promotion, marketing and advertising of our products and services. In no event shall we be liable for any indirect, incidental, consequential, special or exemplary damages, including without limitation, loss of profits or loss of business opportunity, even if such damages are foreseeable and whether or not we had been advised of the possibility thereof. Our maximum aggregate liability shall not exceed the total outstanding Commission fees payable to you under to this Agreement.

\ Confidentiality

\ You agree to keep in confidence all materials connected to the Affiliate Program, this includes but is not limited to your Commission payments, the working practices of, and documents relating to, the operation of this Affiliate Program, as well as the operations of Affiliate-Pharmacy.net. This Clause survives termination, completion, expiry or repudiation of this Agreement

\ Waiver

\ A waiver by any party of any term or condition of this Agreement shall not be deemed or construed to be a waiver of such term or condition for the future or any subsequent breach thereof. All remedies, rights, undertakings, obligations and provisions in this Agreement shall be cumulative and none of them shall be in limitation of any other remedy, right, undertaking, obligation or provision in respect of either party.

\ Do you always ship Pharmacy orders the same day?

\ Unlike other programs we do not guarantee that an order will ship out the same day, and then fail to deliver, so we want to be as clear as possible about our shipping policy: If your order arrives before our 4pm EST cut off time, and our pharmacies have stock available, it will ship the same day, otherwise it will ship the next business day, if the order arrives after the 4pm cut off the order will ship the next day only if stock is available, otherwise it will ship within 48 hours. Orders arriving over the weekend ship Monday if we have stock available, otherwise Tuesday. Orders arriving on a public holiday ship the next business day if stock is available, or within 48 hours.

\ What does RxPayouts.com charge for shipping?

\ Yes, you are free to have as many pharmacies as you like free of charge.

\ When will I get paid my outstanding commission?

\ Our payment cycle runs on a weekly basis from Friday 00:00h to Thursday 23:59h and you will be paid one week in arrears every Friday. This means if today was Thursday and an order came through for you, you would not be paid for it until the Friday of the following week.

\ Will the money clear into my account the same day?

\ No, all payments batch out to our Bank on Friday but the money will not clear into your account until the following Monday. If you have an International Bank account (especially if an intermediate bank is required) the payment can take longer to arrive.

\ How will my commissions be paid?

\ After registering with our program you must enter your payment details in our back office system. We will payout by wire directly to your account.

\ Is there a charge for commission wires?

\ No; we do not charge for wires.

\ Is there a minimum commission amount before I will get paid?

\ Yes; because we don\'t charge for wires you will need a minimum commission balance of $250 before we can wire your commission.

\ Can you send me a commission check?

\ No; at this time we payout only by wire directly into your account.

\ How do you calculate commissions?

\ To calculate your commission simply subtract the cost of the meds you sell from the sale price, you keep 60% we keep 60%. If you set the shipping charge to more than, or less than, the normal $18 shipping charge, or if you have Affiliates, or are using coupons, the commission formula is more complicated. The commission formula is (SALE_PRICE + SHIPPING_CHARGE - COST_OF_MEDS - COST_OF_SHIPPING) * 60%. The COST_OF_SHIPPING is our fixed $18 charge. Payouts (if any) to your Affiliates are subtracted from the order profit before commission is calculated.

\ Are the product prices customizable?

\ Yes, you choose your own sale prices based on our wholesale prices.

\ Can I set my prices to anything I like?

\ Yes, the system won\'t allow you to set the prices below the cost price of the medicine concerned, beyond that you can set the price to whatever you like, but please make sure you don\'t start a price war by setting prices too low... It is possible to set the prices to the cost price and make money from shipping, but if you do this the market may shift downwards, this means we, and everyone else in the Industry ships more product for less money! We strongly discourage selling at cost price for this reason.

\ Can I customize the shipping charges?

\ Yes, you can set your shipping charges to fixed price shipping, free shipping, or a charge based on a percentage of the orders value. We will charge you a fixed $18 fee for shipping, if you charge more it will increase the order profit, if you charge less it will decrease it.
